Board Committees

 The Board has four standing committees to assist in the discharge of its responsibilities.  These are the:
  • Audit & Risk Committee
  • Human Resources & Compensation Committee
  • Nominations Committee
  • Sustainability Committee

Due to the Board's growing focus on sustainability policies and practices, the pre-existing Governance & Nominations Committee was replaced with a Sustainability Committee and a seperate Nominations Committee in June 2007.

Each of the standing committees has its own Charter describing its role and duties.

The office of the Company Secretary provides secretariat services for each Committee.

All Directors are entitled to attend meetings of the standing committees. All papers considered by these Committees are available on request to Directors not on that Committee.  Minutes of all standing committee meetings are provided to all Directors and the proceedings of each meeting are reported by the Chairman of the committee at the next Board meeting.  All Directors may, through the Chairman of the Board, recommend the inclusion of specific topics on Board and Committee agendas.

Ad hoc committees are convened from time to time to address major transactions or other matters calling for special attention.
